Terms of Service

These terms govern consulting services provided by RDFramework LLC ("we", "us", "RDFramework") to clients ("you", "Client").

1. Services

RDFramework provides revenue process automation consulting, including workflow design, implementation, and documentation. Specific deliverables, timelines, and pricing are defined in individual project proposals or statements of work.

Late Payments

Late payments may incur interest of 1.5% per month on the outstanding balance.

3. Refunds and Cancellations

Before Work Begins

If you cancel before work starts, we will refund your deposit in full minus any bank transaction fees.

After Discovery/Roadmap Phase

Once the discovery or roadmap phase is complete, fees for that phase are non-refundable as work has been delivered.

Non-Working Deliverables

If a delivered module does not function as specified, we will fix it at no additional cost. This is a warranty, not a refund.

No Refunds For

4. Scope Changes

Minor Adjustments

Small adjustments within the agreed scope are included at no extra cost.

New Features or Significant Changes

Require a separate scope discussion and quote. Additional work is priced at 10% of estimated annual benefit or a fixed fee, agreed in writing before work begins.

5. Client Responsibilities

6. System Access

Access

Client will add RDFramework team members as users with appropriate permissions to required systems.

After Project Completion

All RDFramework access to Client systems will be removed within 7 days of project completion.

Confidentiality

We will not access, copy, or share any Client data beyond what is necessary for the project.

7. Intellectual Property

Client Owns

All workflows, automations, and documentation created specifically for your project. Upon final payment, you receive full ownership of all deliverables.

RDFramework Retains

Pre-existing methodologies, frameworks, templates, and general knowledge. We may use similar approaches, techniques, and learnings for other clients, without disclosing your confidential information.

8. Warranty and Support

30-Day Warranty (Bug Fixes)

If delivered workflows don't function as specified, we fix them at no cost until they work correctly. No limit on fixes — the goal is a working system.

30-Day Basic Support

Includes up to 2 hours of support per week — answering questions, clarifying documentation, minor guidance. Support requests accepted via email, response within 48 business hours.

After 30 Days

All support and fixes are available as a paid service.

9. Limitation of Liability

RDFramework's total liability for any claim arising from our services is limited to the amount you paid for the specific service giving rise to the claim.

By Client

You may terminate at any time with written notice. Fees for completed work are non-refundable. Work in progress will be invoiced proportionally.

By RDFramework

We may terminate with 14 days written notice if Client breaches these terms, fails to pay, or fails to provide necessary access or cooperation. Fees paid for undelivered work will be refunded.

11. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the project. This includes business data, processes, pricing, and technical implementations.

12. Governing Law

These terms are governed by the laws of the Commonwealth of Pennsylvania, USA. Any disputes will be resolved in the courts of Pennsylvania.

13. Changes to Terms

We may update these terms at any time. For active projects, the terms in effect at project signing apply.
